Johnson & Johnson to Acquire Intra-Cellular Therapies for $14.6 Billion

(Reuters) – Johnson & Johnson has announced its intention to acquire Intra-Cellular Therapies in a significant move aimed at enhancing its portfolio in the treatment of neurological disorders. The deal, valued at approximately $14.6 billion, involves J&J purchasing all outstanding shares of Intra-Cellular at $132 per share, which marks a substantial 39% premium compared to the company’s closing price on Friday.

In response to the acquisition news, Intra-Cellular shares soared by 35%, reaching $128 during premarket trading.

This acquisition is part of J&J’s broader strategy to fuel its growth beyond 2025, especially as it prepares for increasing competition in the dermatology market, particularly with its highly successful psoriasis treatment, Stelara, which is anticipated to face competition from multiple biosimilar drugs within the next few years.

In recent times, Johnson & Johnson has actively engaged in a series of strategic acquisitions. Last year, the company invested $1.25 billion to obtain Numab’s treatment for skin disorders and committed $850 million to acquire Proteologix, a drug development company. In addition to these acquisitions, J&J expanded its medical devices division through a significant $13.1 billion acquisition of heart device manufacturer Shockwave Medical and a $1.7 billion takeover of V-Wave.

This latest acquisition is expected to strengthen J&J’s foothold in the neurological space, aligning with its ongoing efforts to diversify its offerings and fortify its market position against evolving industry challenges.
